This is the standard master agreement referenced by every Scale with Buzzword Order Form. It sets the service terms. Your plan, price, term, and start date live on the Order Form you sign, and nothing on this page changes them.

Master Services Agreement

This is the whole agreement behind your Order Form, written in plain English on purpose.

Buzzword Strategies LLC, a Wyoming limited liability company, 1603 Capitol Ave, Ste 415 #465784, Cheyenne, WY 82001 ("Buzzword," "we," "us"), and the client named on the Order Form ("Client," "you").

Effective Date:

Your Order Form

Your price, term and what's included are on the Order Form you sign. This page is the terms that sit behind it and doesn't set a price. Your ad budget goes from you to Meta directly and isn't part of our fee.

1. What we do

1.1 The work. We deliver the services listed on your Order Form. The Order Form sets the price, the term and what's included. If the two ever disagree, the Order Form wins on price and scope, and this agreement wins on everything else.

1.2 Term and cancelling. You're month to month unless your Order Form says otherwise. To cancel, email your Customer Success Manager 15 or more days before your renewal date and you stop at the end of the period you've already paid for. If your email lands inside those 15 days, the next month bills and you stop at the end of it. Nothing renews into a new term. A term paid up front isn't refundable, and when it ends you carry on month to month at the rate your Order Form states until you cancel.

1.3 Your ad account. Your Meta ad account is yours and stays in your name. We get partner access to run it, and that access ends when this agreement ends.

2. Money

2.1 Fees. You pay the fees on your Order Form, in advance, by card or payment link, and you authorize us to charge the card you pay with for each fee when it's due. Any sales tax is yours. Fees already paid aren't refundable. A chargeback doesn't cancel a fee you owe, and you cover what it costs us to collect it.

2.2 Ad spend. Your ad budget goes from you straight to Meta. We never hold it and we aren't responsible for it.

2.3 Price changes. If your Order Form doesn't lock your price, we can change it with 15 days' notice by email. A change only applies from a renewal date at least 15 days after that email, so you can always cancel under 1.2 before it takes effect.

2.4 Late payment. If a payment fails you have 3 business days to fix it, then we can pause the work. After 30 days unpaid we can end this agreement. Spot a billing mistake? Tell us within 15 days.

3. What we need from you

3.1 Access. Give us what we ask for to build and run your campaigns: your intake, ad account access, your page and your logo. Build clocks start when we have them.

3.2 Your business, your claims. You run your business under the federal and state laws that apply to it, including licensing, advertising and consumer-protection rules. You're responsible for your licenses, your offers, and for everything your ads say about your business being true. Look over what we make and tell us quickly if something's wrong.

3.3 Your leads. Your team contacts and sells to the leads we send. Results depend on it.

3.4 Contacts and data. Only give us contacts who agreed to hear from you, and honor every opt-out. Don't put health records, card numbers, government ID numbers or other sensitive personal data into the CRM or any of our systems.

4. No promised results

Marketing has no sure things. We don't promise a number of leads, sales or revenue. Meta and other platforms approve, limit or suspend ads under their own rules; that isn't a breach by us, and we'll work with you to fix it. Apart from what this agreement says, we make no other promises about the services, including implied ones.

5. Who owns what

5.1 Yours. The ads, creative and landing page copy we make for you (once they're paid for), your logo, and your contacts and lead data. We'll export your data on request within 2 business days, and you have 15 days after the end to ask.

5.2 Ours. Our software, the CRM (licensed to you while you're subscribed, never transferred), our templates, systems and know-how.

5.3 Showing our work. We may name you and share results and creative as examples of our work, never personal information about your customers. Email us to opt out and we stop within 10 business days.

6. Keeping things private

Each of us keeps the other's non-public information confidential, uses it only for this agreement, and keeps doing so for 3 years after it ends. We use reasonable safeguards and tell you promptly if a breach affects your data.

7. Liability

7.1 The cap. Neither of us owes the other for indirect, incidental or lost-profit damages. Our total liability under this agreement is capped at 50% of the management fees for the term on your Order Form. On month to month, that's 50% of one month's fee. None of this limits fees you owe us or what you owe under 7.2.

7.2 You cover us for your business. If anyone makes a claim against us because of your products or services, the offers and claims in ads you approved, your licenses, the contacts you gave us, the messages sent to your leads in your name, or how your team contacts them, you'll defend us and cover our costs.

8. Ending

Either of us can end this agreement as 1.2 describes, or if the other seriously breaks it and doesn't fix it within 15 days of written notice. We can also end it as 2.4 says if you don't pay, and straight away if you break the law or mistreat our team. At the end your access stops, you keep what's yours under 5.1, and anything owed is still owed. Sections 2, 5, 6, 7 and 9 keep applying after the end.

9. The rest

9.1 Disputes. We talk it through in good faith first. If that doesn't settle it within 15 days, Wyoming law applies, disputes go to the state or federal courts in Wyoming, both sides give up a jury trial, and whoever wins gets reasonable legal fees back.

9.2 Notices. By email: to us at josh@buzzwordstrategies.com, to you at the address that signed the Order Form.

9.3 Outside our control. Outages, platform changes, disasters and anything else outside either side's reasonable control aren't a breach.

9.4 Our team. While we work together and for 12 months after, don't hire our employees or contractors directly without asking us first.

9.5 Everything else. We're an independent contractor and may use our own contractors. We can assign this agreement if we sell or merge the business. We may update this agreement for future Order Forms; the version named on your Order Form is the one that binds you, and changing it needs both of us in writing. Electronic signatures count. This agreement and your Order Form are the whole deal.
